CONFIDENTIALITY AGREEMENT

This confidentiality agreement is entered into between Jeffrey Jacob Holland Investments ("Holland") and you to facilitate discussions between our two parties concerning investment strategies and services provided by Holland which are confidential as to Holland ("Confidential Information"). The parties agree as follows:

1. Holland will provide to you Confidential Information pursuant to this confidentiality agreement, to enable you to better evaluate Holland’s strategies and services. This information will be designated as Confidential Information, and no confidential information given to you will be given to any third party and will also not be given to any principal or other representative of yourself without the prior written consent of Holland.
    
2. You will maintain the Confidential Information provided in strict confidence.
    
3. You will use the Confidential Information provided by Holland solely for purposes of evaluating a potential business relationship with Holland.
    
4. Information provided by Holland shall not be considered Confidential Information if it: a) was already known to you as evidenced by pre-existing documents in your possession; or b) was or becomes publicly known or available through no fault of yours; or c) is learned by you from a source or sources not under obligation to Holland to maintain the Confidential Information as confidential.
